Capital Structure
In January 2010, through a royal decree-law, all public prerogatives and responsibilities related to the management and development of the port complex were transferred to Tanger Med Port Authority. As such, this entity acts as the Port Authority of Tanger Med. Tanger Med Port Authority’s missions focus on the management and development of port infrastructure, coordination and facilitation of the port community, and ensuring the reliability and performance of services provided to the port platform’s clients.

Responsibilities
The Board of Directors deliberates on matters within its legal and statutory responsibilities, except for those explicitly reserved for the Shareholders’ General Meetings.

Specialized Committees
Responsibilities
The Audit and Risk Committee assists the Board of Directors and provides recommendations on internal control, financial reporting, risk management, and review of the financial statements.
Composition
The Audit and Risk Committee is composed of members appointed by the Board of Directors. At least two members, including the Chair, must be members of the Board.

Responsibilities
The Strategy and Investment Committee assists the Board of Directors in defining the Group’s strategic directions and ensuring their implementation. It also reviews investment programs and provides its opinion on the various options and proposals to be submitted to the Board.
Composition
The Committee is composed of three to five members appointed by the Board of Directors, including at least two members, one of whom acts as Chair, from the Board itself.
